Core contracts have a way of turning into chaos: pages of legalese, addendums with their own rules, and fees tucked into clauses you skimmed before you signed. That complexity is often by design. Without a legal expert in your corner, your core contract could leave your bank out to dry for years to come. But it doesn’t have to be this way. You can break the cycle by knowing which fine print to look for.
Here are 10 traps to watch for in your contract.
1. Scope Creep
Your contract should match what you discussed during the sales process and what appeared in the original proposal. That doesn’t always happen: extra products and services can slip in as line items you never agreed to. Some contracts even let vendors add services with nothing more than an email notice, which looks like a courtesy but means you never had a chance to say no.
Pro tip: Compare the contract against the original proposal, line by line. Anything that wasn’t in the proposal needs an explanation.
2. Auto-Renewal Traps
Many core contracts renew automatically, and the notice window to opt out can close long before the term ends. Miss it, and your bank could be locked in for another multi-year term with the same provider, the same pricing and the same frustrations. Pushing for a rolling one-year renewal term keeps your bank flexible once the initial term ends
Pro tip: Put every renewal deadline on your calendar, with a reminder for each six months earlier.
3. Pricing That Compounds
Many big-box vendors charge per account, whether or not the account is active, so your costs climb as your bank grows. Add separate technology fees and annual price escalators, and a manageable bill can snowball over a five- or 10-year term. If your pricing model works against your growth plans, your contract is quietly taxing your success.
Pro tip: Ask your core how their pricing model works and if there’s a compounding price increase over time.
4. Surprise Add-Ons
Vendors often roll out new features and enhancements with little to no notice. In some contracts, those enhancements come with a price tag whether your bank uses them or not. Over time, these add-ons can quietly inflate your bill well beyond what you originally budgeted.
Pro tip: Get it in writing whether future enhancements are included or billed separately, and whether you can opt out..
5. Locked Integration Doors
An Independent Banker article mentioned one bank’s experience working with their core and third party providers was agonizing. A vendor may say they have an open API and can easily integrate with hundreds of third-party providers. But, what really happens is the core may have strict requirements and limitations that may prevent them from integrating with your third-party provider of choice or they will impose a hefty fee for your bank to use the API to integrate with your outside vendor.
Pro tip: Ask a prospective core which integrations it delivered last year, what they cost and how long they took.
6. Addendum Overload
Ideally, every addendum falls under your master agreement. With many big-box providers, though, each new product comes with its own terms, initial term and renewal schedule, and sometimes those terms override the master agreement. Before long, you’re managing a different rulebook for every product and losing track of what you actually agreed to.
Pro tip: Make sure every addendum is coterminous with your master agreement, so everything renews and expires together.
7. Liquidated Damages
If you leave your contract early, liquidated damages decide how much you owe, and the numbers can be steep. Most contracts default to 100% of your average fees over the remaining term. The good news is that vendors are used to negotiating, and 50% is considered an industry-best outcome.
Pro tip: Ask for the exact early-termination formula in writing before you sign.
8. Clawbacks
That shiny signing bonus or renewal discount may come with strings attached. A clawback clause lets the vendor recover the value of incentives it gave you if you terminate early. The perk that sweetened the deal at signing can become a penalty on your way out the door.
Pro tip: List every incentive in your contract and check whether each one carries a clawback.
9. Deconversion Fees
Whether you sell your bank, merge or change core providers, you’ll want to know what it takes to get your data out. Some vendors charge heavy deconversion fees and penalties for ending a contract early, and if those details aren’t spelled out, you may not know the true cost of leaving until you try.
Pro tip: If deconversion details are missing from the agreement, ask the core what the termination process looks like and get the specific fees and terms in writing.
10. Merger Math
Growing through mergers and acquisitions can trigger fees to add the acquired bank to your core, plus ongoing fees that may differ from your master agreement. If the acquired bank is on a different contract, you could also be on the hook for its termination costs. Without clear terms up front, a growth opportunity can turn into a budgeting headache.
Pro tip: If M&A is part of your strategy, ask how pricing changes when you add a bank before you ever need the answer.
How IBT ONE Ends Contract Chaos Once and for All
What if your core contract didn’t need a 10-point survival guide? IBT ONE replaces the maze with one monthly price that covers every IBT product.
“Time and time again, we hear from bankers who are locked into their contracts while struggling with poor service and inferior products,” says Scott Evans, CEO of IBT Apps. “Even worse, they pay the price when they try to break free. We built IBT ONE to be a game changer and end that hassle for good.”
- No upselling. Every IBT product is included, even the ones we haven’t launched yet.
- No onboarding or conversion fees. “Elsewhere, onboarding and conversion can cost upwards of $200K,” says Evans. “With IBT Apps, those services are free.”
- No paying before you’re LIVE. Your first bill arrives in your first month live, not while you’re still converting.
- No ballooning costs. New products roll into your subscription automatically at no extra cost.
- No surprise invoices. One clear monthly fee, with no line-item add-ons or hidden charges.
